Draxion Terms of Service
1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the Draxion AI Governance Platform (“Service”), including the web application at app.draxion.io, the website at draxion.io, and the Draxion Monitor Chrome extension, operated by Draxion Inc. (“Draxion,” “we,” “us,” or “our”).
By accessing or using our Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use our Service.
2. Definitions
- “Account” means a unique account created to access our Service
- “Organization” means a company or entity that has subscribed to Draxion
- “Administrator” means a user with administrative access to an Organization account
- “Employee User” means an individual whose AI usage is monitored through Draxion
- “Extension” means the Draxion Monitor Chrome browser extension
- “Platform Data” means detection events, risk scores, reports, and other data generated through use of the Service
- “Subscription” means the paid plan selected by the Organization
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and have the authority to enter into a binding contract to use our Service.
3.2 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.3 Account Security
You are responsible for safeguarding your account credentials. You must immediately notify us at security@draxion.io of any unauthorized access to your account.
3.4 One Account Per Organization
Each organization may maintain one active account. Creating multiple accounts to circumvent usage limits is prohibited.
4. The Service
4.1 Description
Draxion provides an enterprise AI governance platform that enables organizations to:
- Monitor employee use of AI tools
- Assess AI-related data loss prevention risks
- Generate compliance reports and documentation
- Track regulatory requirements
- Manage vendor AI governance
- Score organizational AI governance posture
4.2 Chrome Extension
The Draxion Monitor extension is an enterprise tool deployed by Organizations to monitor employee AI tool usage. Organizations are responsible for:
- Complying with applicable employment and privacy laws before deployment
- Notifying employees of monitoring as required by law
- Obtaining any required employee consent
- Configuring the extension in accordance with their legal obligations
4.3 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced with reasonable notice.
5. Subscriptions and Payment
5.1 Plans
Draxion offers paid subscription plans. Current pricing is available at draxion.io/pricing. Plans are billed monthly or annually.
5.2 Payment
All fees are charged in US dollars. Payment is processed by Stripe. By providing payment information, you authorize us to charge the applicable fees.
5.3 Renewals
Subscriptions renew automatically unless cancelled before the renewal date. We will send a renewal reminder 14 days before the renewal date.
5.4 Price Changes
We will provide 30 days notice before increasing subscription prices. Continued use after the effective date constitutes acceptance of the new pricing.
5.5 Refunds
We offer a 14-day money-back guarantee for new subscriptions. After 14 days, subscription fees are non-refundable except as required by applicable law.
5.6 Taxes
Prices exclude applicable taxes. You are responsible for all taxes associated with your subscription.
6. Acceptable Use
6.1 Permitted Use
You may use Draxion only for lawful enterprise AI governance purposes in accordance with these Terms and applicable law.
6.2 Prohibited Uses
You agree NOT to:
- Use the Service for any unlawful purpose
- Monitor individuals without their knowledge where required by law
- Attempt to reverse engineer, decompile, or disassemble any part of the Service
- Use automated means to access the Service except through our official API
- Resell, sublicense, or provide the Service to third parties without written authorization
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to any part of the Service or its systems
- Use the Service to harass, harm, or discriminate against individuals
- Introduce malware, viruses, or harmful code
- Remove or alter any proprietary notices
- Use the Service to build a competing product
6.3 Usage Limits
Each subscription plan has defined usage limits (monitored seats, API calls, AI analyses). Exceeding limits may result in throttling or additional charges with advance notice.
7. Intellectual Property
7.1 Our Rights
Draxion and its licensors own all rights, title, and interest in the Service, including all software, algorithms, user interfaces, trade names, logos, and documentation. These Terms do not grant you any rights to our intellectual property except the limited license described in Section 7.3.
7.2 Your Data
You retain ownership of all data you submit to Draxion (“Customer Data”). By using the Service, you grant us a limited license to process your Customer Data solely to provide the Service.
7.3 License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription for your internal business purposes.
7.4 Feedback
If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve our products.
8. Confidentiality
Each party may receive confidential information from the other. Each party agrees to:
- Keep confidential information secret
- Use it only for purposes of the Service
- Not disclose it to third parties without prior written consent
- Protect it with at least the same care used for its own confidential information
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Data Processing
9.1 Data Controller vs Processor
For Customer Data, you are the data controller and Draxion is the data processor. We process your data only on your instructions as set out in these Terms and our Privacy Policy.
9.2 Data Processing Agreement
Enterprise customers requiring a formal Data Processing Agreement (DPA) for GDPR compliance may request one at privacy@draxion.io.
9.3 Security
We maintain appropriate technical and organizational measures to protect Customer Data as described in our Security documentation at draxion.io/security.
10. Warranties and Disclaimers
10.1 Our Warranties
We warrant that:
- The Service will perform materially as described in our documentation
- We will implement reasonable security measures to protect your data
- We will comply with applicable privacy laws
10.2 Disclaimer
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL DEFECTS WILL BE CORRECTED.
11. Limitation of Liability
11.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY.
11.2 Liability Cap
DRAXION’S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
11.3 Essential Basis
THE LIMITATIONS IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES.
12. Indemnification
You agree to indemnify, defend, and hold harmless Draxion and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your deployment of the Chrome extension without required employee notifications
- Your Customer Data
13. Term and Termination
13.1 Term
These Terms begin when you create an account and continue until your subscription ends or these Terms are terminated.
13.2 Termination by You
You may terminate your account at any time through your account settings. Termination takes effect at the end of the current billing period.
13.3 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- You fail to pay subscription fees
- We are required to by law
- We reasonably believe you are using the Service for illegal purposes
13.4 Effect of Termination
Upon termination:
- Your access to the Service ends immediately
- We will retain your data for 30 days during which you may request an export
- After 30 days, your data will be deleted
- Provisions that should survive termination (IP, confidentiality, liability) will survive
14. Changes to Terms
We may modify these Terms at any time. For material changes, we will:
- Provide 30 days advance notice via email
- Post the updated Terms on this page
- Require re-acceptance for continued use
Continued use after the effective date constitutes acceptance of the modified Terms.
15. Governing Law and Disputes
15.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
15.2 Dispute Resolution
Before initiating formal proceedings, parties agree to attempt informal resolution by contacting legal@draxion.io.
15.3 Arbitration
Disputes that cannot be resolved informally shall be resolved by binding arbitration under the JAMS rules in Delaware. Class action waiver: disputes must be brought individually, not as a class action.
15.4 Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any Order Form or DPA, constitute the entire agreement between the parties.
16.2 Severability
If any provision is found unenforceable, the remaining provisions continue in effect.
16.3 Waiver
Failure to enforce any provision does not constitute a waiver of that right.
16.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms to a successor in connection with a merger or acquisition.
16.5 Force Majeure
Neither party is liable for delays caused by circumstances beyond their reasonable control.
16.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
